These terms explain how the Biilda affiliate program works: what you earn commission on, how referrals are attributed to you, when and how you’re paid, and the rules that keep the program fair for everyone in it. They work alongside, and don’t replace, our Terms of Service.
Eligibility
To join the Biilda affiliate program, you must be at least 18 years old (or the age of majority where you live), hold a Biilda account in good standing, and accept these Affiliate Terms. The version of these terms you accept, and when you accept it, is recorded with your account. If we materially update the program, continuing to participate after the update takes effect means accepting the new version. We may decline or remove an applicant at our discretion — for example, where we can’t verify who they are, or where their planned promotion would conflict with the rules below.
What you earn commission on
You earn commission on the credits your referred customers actually use — never on their top-ups, deposits, or unused balance. Commission is calculated only on settled, consumed usage: AI work a referred customer has already run and paid for, once it has cleared the 30-day holding period described below. Your current commission rate is shown in your affiliate dashboard — today that’s 10% of the revenue from a referred customer’s consumed usage, though promotional rates may run higher or lower for a limited time (see Rates and changes). Your dashboard also gives you your personal referral link and, where available, a referral code — those are the only two ways a customer’s usage gets attributed to you.
Attribution
A customer is attributed to you on a first-touch basis: whichever affiliate’s link they used, or whichever affiliate code they entered at sign-up, first, for a 90-day window from that first touch. If someone signs up through your link or code within that window, their usage is attributed to you even if they don’t make a purchase right away. A customer is only ever attributed to one affiliate at a time.
Clearance and payout
Commission accrues as your referred usage settles, then clears 30 days later (net-30) to allow time for refunds or disputes on that usage. Cleared commission is paid out monthly, around the 2nd, once your payable balance reaches a US$50 minimum — balances below that roll into the next month. Payouts are made exclusively through Stripe Connect. Stripe performs its own identity verification (KYC) on payout recipients; you must complete that verification before we can pay you, and availability outside Canada and the United States depends on where Stripe supports payouts. Payouts arrive net of Stripe Connect’s payout fee, currently 0.25% plus US$0.25 per payout, which is deducted from your payout. You can see your accruing, cleared, and paid-out commission at any time in your affiliate dashboard, along with the referrals that generated it.
Clawback and reversals
Commission is only ever earned on usage that stays paid for. We may reverse or withhold commission — including commission that has cleared but not yet been paid out — where the underlying usage is later refunded or charged back, where we determine the referral involved fraud or abuse, or where you breach these terms. This is a right we may exercise, not something that happens automatically on every refund; ordinary, good-faith refunds under our Refund Policy simply reduce the usage your commission was calculated on.
Self-referrals and abuse
The affiliate program exists to reward people who genuinely bring new customers to Biilda — not to be a way of discounting your own usage or gaming a payout. The following are not permitted, and may end your participation in the program:
- Referring yourself, or any account you own or control, to earn commission on your own usage.
- Creating or using multiple accounts to inflate referrals, or incentivizing sign-ups (e.g., paying people to sign up) without our written permission.
- Bidding on “Biilda,” or confusingly similar terms, as a keyword in paid search advertising.
- Sending spam or unsolicited commercial email to promote your referral link, including anything that would violate Canada’s Anti-Spam Legislation (CASL) or similar laws where your audience lives.
Disclosing your affiliate relationship
Whenever you promote Biilda using your referral link or code, you must clearly disclose that you may earn a commission — for example, with a visible “#ad” or “affiliate link” label placed where people will see it before they click, not buried in a bio, a video description, or a footnote they’d have to go looking for. This applies wherever you promote Biilda: a blog post, a YouTube video, a podcast, a social media post, or a paid ad. This is required by advertising-disclosure rules that apply to endorsements and paid promotion, including Canada’s Competition Act and, for a US audience, the FTC’s endorsement guidance. Disclosure is your responsibility as the person making the promotion; we can’t make it for you, and a missing disclosure is treated the same as any other program violation.
Trademark and brand use
You may use the Biilda name, logo, and other marks only in the form we provide (for example, through an approved media kit), and only to identify Biilda accurately in your promotion — never in a way that suggests we’ve endorsed you personally, that you’re an official Biilda channel, or that implies a partnership beyond this referral relationship. We may ask you to stop any use we consider misleading or off-brand, and you agree to stop promptly.
Rates and changes
Your commission rate is shown in your affiliate dashboard. If we promise your cohort a specific rate for a stated period, we honor it for that period. Outside of a stated promotional period, we may change program rates and terms going forward, with reasonable advance notice; changes apply to usage settled after the change takes effect, not retroactively.
Taxes
You’re responsible for determining and paying any taxes owed on commission you earn, and for providing any tax forms or identity information Stripe or we reasonably require before issuing a payout. We don’t withhold tax from your commission unless we’re legally required to, and we don’t provide tax advice — talk to your own accountant or tax advisor about how affiliate income is treated where you live.
Termination
You may stop participating in the program at any time; we may suspend or end your participation for breach of these terms, fraud or abuse, or if your Biilda account is suspended or terminated. Ending participation — by you or by us — stops new commission from accruing going forward. Commission you’ve already earned and cleared is still paid out on the next payout cycle once it reaches the US$50 minimum, subject to the clawback provisions above; we may withhold that payment where we end your participation for fraud or breach.
Our relationship
You participate in the affiliate program as an independent contractor, not as an employee, agent, partner, or joint venturer of Biilda AI Inc. You have no authority to make commitments on our behalf, and you’re responsible for your own equipment, expenses, and how you conduct your promotion. Nothing in these terms entitles you to benefits, insurance, or any other arrangement we provide our own employees.
Governing law and disputes
These Affiliate Terms are governed by, and any dispute arising from them is resolved under, the governing-law and dispute-resolution provisions of our Terms of Service, including the arbitration and class-action-waiver provisions there where they apply to you.
